Customer Terms of Use of Crust

Crust is provided Crust Africa Limited ("Crust" or "We"), a limited liability company registered in Nigeria to provide electronic payment services.

You are to read and understand these terms, as they are a binding agreement between you and Crust Africa. Customers who are under (18) years age should review Terms of Use with a parent or guardian.

1. Definitions

"Agent" refers to any party or device, including authorized Crust Agents, Merchants, ATMs, connected kiosks and tellers that facilitate Crust transactions on behalf of customers.

"ATM"  Automated Teller Machine.

"BVN" means Biometric Verification Number used by the industry in Nigeria and issued by a CBN approved institution.

1.5.

"CBN" means Central Bank Nigeria

1.6.

"Content" means all information whether textual, visual, audio or otherwise, on or available through the services.

1.7.

"Credit" means the movement of funds an Account or Wallet.

1.8.

"Debit"  the of funds out of an Account or Wallet.

1.9.

"IVR" stands for Interactive system, the automated phone line that a computer to recognize voice keypad inputs.

"Linked Bank Account/Card"  to the account or or credit card that you have linked your Crust Account. This allows out transactions using funds from bank account or card instead of using your Crust Account balance.

1.11.

"Merchant" means any person or entity who offers or accepts payment for goods or services using Crust.

1.12.

"Mobile Payments" describes the service or process that to make and receive a variety of payments using their mobile phone, among other channels. This service is available as of Crust.

1.13.

"Mobile phone" means a GSM or CDMA device, which and receive calls and and receive SMS, among communication options.

"NUBAN" means Nigerian Unified Banking Account Number.

"OTP" means One Time Pin, used to authorize transactions or processes.

1.17.

"PIN" means personal identification number being the secret code you choose for secure use of (and access to) your Crust account.

1.18.

"Products" refer to Crust products, including person-to-person money transfer, bill payments, airtime top-up, Crust retail payments services or other Merchant products and services provided through Crust.

1.19.

"Registered phone number" refers phone number that has been registered on Crust.


1.20.

"Services"; any products and services provided to the customer part of Crust.

1.21.

"Crust Wallet" means electronic stored value account on Crust used to perform transactions.

1.22.

"Partner Service Provider:" means any person or entity that offer its services through Crust.

1.23.

"Transaction Savings Wallet": An electronic stored value account on Crust, used by the customer or Agent save, earn interest and typical Crust transactions

1.24.

"SMS" or " Service" is a standard communication service on GSM phones, which is used exchange short text messages between devices.

1.25.

"USSD" or "Unstructured Supplementary Service Data" is a real messaging channel accessed from a mobile phone and allows user to interact with Crust.

2. The Crust Offering

2.1.

Crust a service offered by Crust Africa designed to allow you to:

Sign up as a customer

2.1.2.

Receiving access to set products and features within Crust.

2.1.3.

Credit a Crust account with cash by;

2.1.3.1.

depositing at our agent locations;

2.1.3.2.

depositing any of our collection banks;

2.1.3.3.

funds into Crust from a Linked Bank Account/Card;

2.1.3.4.

receiving money into Crust another customer.<

2.1.4.

pay or transfer money to a third party for personal reasons or as payment physical or virtual goods or services already or to be in the future;

2.1.5.

transfer to bank account;

2.1.6.

to a Crust Account;

2.1.7.

Merchants

2.1.8.

receive money from another party personal or as payment for physical or virtual goods or services already or to be provided in the future.

2.1.9.

cash of our Agent locations, Crust centers or ATM;

2.2.

No interest will be on the balance Crust Accounts or Wallets unless you are subscribed to a on pays interest;

3. Opening a Crust Account

3.1.

We strongly recommend that minors obtain consent from their parents guardians before joining Crust providing to any third party or before sending any information about themselves to anyone over Crust channel.

3.2.

In to up to Crust, an active GSM or CDMA mobile phone subscription on mobile network is required.

3.3.

Customers are limited to one (1) Account or Wallet per phone number. Multiple phone numbers can however be linked to the same Account or Wallet.

3.4.

3.8.

We reserve the all individuals and businesses against applicable sanction lists and the BVN watchlist database and may decline account opening applications in event they are found to be on any of the lists.

We reserve the right to suspend or withdraw an Account or Wallet we have reasonable grounds to believe that there a breach of security of that Account or Wallet, we suspect unauthorised or fraudulent use that Account or we are required by law to so.

3.10.

If a fraudulent activity is associated with the operation of your Account or Wallet, you agree that we have right to apply restrictions your Account and report to appropriate law enforcement agencies.

4. Adding Funding Sources to your Account

4.1.

You may the funds other aside from your Account or Wallet, customers may Bank Accounts and cards to their Crust or Account.

Confirmation and authorization your other sources by an OTP, 3D or authorization as applicable are required. Once authorized, you grant Crust Africa and your bank the authority to debit source(s) at your request or at any recurring schedule you have indicated. Your authorization is confirmed by Crust Africa with a login into the Crust platform your password or via use of PIN on USSD.

4.3.

Once a funding source has been added to your or Wallet, you grant Crust the authority to save and store the details of your funding source.

4.4.

Our information security and privacy policy will be applicable to all information stored and processed.

4.5.

5. Transacting

5.1.

You may access the available funds in your or Wallet at any time using any of the channels you choose, including your mobile phone and the Internet. While we make reasonable attempt to provide the services as described in our marketing educational materials, services "as is" and without any warranties.

5.2.

All payments will be processed in i.e. and Kobo.

6. Bank Account Direct Debit

6.1.

Direct Debit Service allows you to payments for goods and services through the Crust platform and such other payment systems/channels your bank account as the funding source.

6.2.

To eligible the Direct Debit Service, must be an account holder with any of Crust Africa partner banks and possess a text-enabled cellular/wireless telephone number

6.3.

You must initiate account registration for Direct Debit by providing Crust Africa your Bank Account Number, Date of Birth and One Time Personal Identification Number (OTP) provided to you your Bank, via any of supported Crust payment systems/channels, however, we additional information register your account.

6.4.

By requesting this service, you hereby authorize your Bank and Crust Africa, directly or through third parties, to make any inquiries we consider necessary to validate your identity and/or authenticate your identity information. This may include you further information and/or documentation about your or identity, or requiring you to steps to confirm ownership of email address or telephone or instruments, and your information against third databases through sources.

6.5.

All payments the Direct Service authorized by your and authenticated by you; by way of One Time Personal Identification (OTP).

Upon set up and authentication of the Debit Service, all payments through this service and Bank or Crust will held liable as a result of any unauthorised transaction or oversight or compromise.

6.7.

If you set up recurring payments, you hereby authorize to debit your wallet, and if a source is used, Crust and to debit the specified amount at the specified period.

7. Recurring or Subscription Payments your Crust Account

7.1.

You set up recurring payments on Crust. set up you are authorizing to Account, bank account, or saved debit/credit card, as the case may be, the specified amount at the specified period. All transactions are final. If your Crust account or bank is not funded or your debit/credit card declined at of transaction the transaction will fail.

7.2.

You may also permit a 3rd party to setup a recurring payment to debit your Crust Account or bank account or debit/credit card as the may be. All transactions are final. If your Crust Account or bank is not funded or debit/credit card is declined time of the transaction the transaction will fail.

8. Fees, Charges and Payment Terms

8.1.

While many transactions on Crust are free to customer, some transactions carry a fee. Our Crust schedules are available at all our locations, field offices, through communication with our Customer or by accessing our website. The fee provides on the fee amounts, and the and source of payment for such fees. We reserve the sole discretion the fee from to time.

8.2.

When you initiate and confirm a transaction on Crust, you agree to be bound by and pay for that transaction. not commit to a transaction unless you are ready and checked all provided information is accurate as all confirmed and transactions are final.

Crust is designed to make payments convenient, so we allow to make payments using a number different funding e.g. your Linked Bank Accounts or Cards. When you provide us with a funding source, you also authorize:

9. Merchant Transactions

9.1.

When making a payment a on Crust, you will required to confirm the transaction. At this time, you may also be to enter your Password or PIN on the channel. By entering your Password or PIN to confirm you agree and confirm that you authorised the transaction. You cannot directly or cancel any payment once it has been approved by you.

9.2.

When a payment on a merchant website using Crust, you be required to log into your Crust account, before payment be made, in which case clause 5 will be applicable.

9.3.

As we are unable reverse or charge-back any payments made, should you have a dispute with any Merchant, you should resolve such disputes with the Merchant directly.

9.4.

Disputes between you and a Merchant will not affect our right to recover payments from you.

10. Transaction Savings Wallet

The Savings Wallet enables earn interest on funds.

By creating, or opting into the Transaction Savings Wallet:

10.1.

you understand that your Transaction Savings is different from your Crust or Wallet. As such, your Transaction Savings is not regulated by the Central Bank Nigeria Guidelines for mobile money or other regulations;

10.2.

you appoint Crust as your exclusive to liaise with a fund manager licenced by Securities and Commission to the funds in your Transaction Savings Wallet in Treasury Bills on your behalf;

10.3.

you consent and authorise the investment of the funds in your Transaction Savings Wallet in Treasury Bills issued by the Government of Nigeria;

10.4.

you that the funds in your Transaction Wallet will not be secured the Nigerian Deposit Corporation;

10.5.

will interest on the funds invested Transaction Savings Wallet at the applicable interest rate which will communicated to you. You understand that interest rates may vary from time to time and can therefore be adjusted without prior notice to you. Such adjustment shall be communicated to you;

10.6.

you understand based on liquidity requirements allow transact at any time and the investment, that rates on the Transaction Savings Wallet will vary from published rates on Treasury Bills;

10.7.

you agree that and/or the fund manager will not be for any loss or decline in the interest rate returns in the Savings Wallet, which you elect to use in connection your Crust Account. event will Crust and/or the fund manager be liable, directly or indirectly, to anyone for any damage loss relating to any use or reliance on any of Crust offerings. 10.8.

you reserve right to close your Transaction Savings Wallet. closing Transaction Savings Wallet, you will no longer earn interest and all funds will transferred to your main Crust Account. To close the Savings Wallet, log into your account to select the "opt-out" under settings menu, sub-menu;

10.9.

you that if your Transaction Savings Wallet closed for any reason payment of interest, interest will accrue until the date prior to the the Transaction Savings and the and principal will paid to your Crust Account net of any applicable charges and;

you agree that against Crust may only be brought in your capacity and cannot be brought as a class in any purported class or representative action proceeding.

11. Crust Online Services

11.1.

you agree that claims against Crust may only be brought in your individual capacity and cannot be brought as a class member in any purported class or representative action proceeding.

12. and Unauthorized Use

12.1.

We will place your Account hold to prevent any transactions from being carried as as we reasonably can. will remain responsible for all that occur until your Account put on hold.

12.4.

Should you dispute any purchase or withdrawal to your Account, you will required to prove that it lacked your authorization. Such transactions will be investigated once we receive an affidavit clearly stating that you had not authorised the transaction, supported proof of this.

12.5.

may ask certain questions to your identity when you call Customer Services. This method gives us your authorisation to your Account and execute your instructions. However, please note that we will never ask PIN. We advise that you do not disclose your Password or PIN to anyone under any circumstance.

13. Deposit Insurance

13.1.

Unless otherwise stated, all funds in your Crust Account shall be up the maximum coverage level for in line with Nigerian Deposit Act. This is provided by the Nigerian Insurance Deposit Corporation.

14. Statements and Transaction Records

14.1.

You may request a record of transactions on your Account at any time either via your mobile phone, online, or from a Crust field office. Unless otherwise noted at time of request, all records of transactions will be provided of charge, subject to SMS network charges.

14.2.

15. Suspension and Closure of Accounts

15.1.

We suspend, restrict, terminate the provision of our services (in whole in part) and or close your Account without liability whatsoever under the following circumstances:

15.1.1.

If you notify us that your phone has been lost or stolen or your PIN has been compromised, we account on hold.

In any case where your Crust Account closed for any reason and has a balance of funds, upon your to Customer Services, the will be made available to you for withdrawal barring any legal or regulatory provisions against such.

16. Account and Unclaimed Funds

16.1.

A Crust Account or shall become inactive if there has been no or depositor-initiated a period of six (6) months after the last customer or depositor initiated transaction.

16.2.

A Crust Account or Wallet shall become dormant has been no customer or depositor-initiated for a period of one (1) year after the last customer depositor- transaction.

16.3.

Inactive Account be as active with any customer initiated transactions or any deposits into the Account.

16.4.

Customer or depositor-initiated transactions include deposits, withdrawals and transfers to or from the account, bill payments and other transactions that may be on Crust platform.

16.5.

In a situation where an Account becomes dormant, Crust will:

16.5.1.

Account holder three (3) months to dormancy on the status of Account and upon dormancy, to encourage the customer transact.

16.5.2.

contact the next of kin or alternative contact if still unable to reach the customer after three (3) months dormancy.

16.5.3.

continue to reflect of dormant Account in wallets.

16.5.4.

retain all records dormant irrespective of the years of dormancy and reactivate such accounts upon request of the legitimate account owner.

16.5.5.

ensure the customer provides satisfactory KYC evidence of account ownership, reactivate dormant accounts.

16.6.

All funds deposited into any Crust Africa accounts individual or depositor without sufficient details as to the rightful will be classified funds.

16.7.

Crust Africa employ adequate to reach the collection bank for details the beneficiary.

16.8.

In the event funds deposited in the collection/pool account remain outstanding for a period of (6) months. Crust Africa shall pool all into a suspense account at a bank. The funds be warehoused until the beneficiary shows up or the corresponding bank debits Crust pool account.

17. Notices

17.1.

The physical address, email address or telephone number you supply during sign-up are regarded the preferred channels via which notices may be given and documents in legal may be served. You must notify us immediately should your physical, postal, email address or mobile phone number change.

17.2.

We are to send information to you via SMS registered phone number associated with your Account and as time to time.

17.3.

Photo Library: allows you access to your photos as an optional source for your profile picture;

18.6.

Terms and Condition 

POINT OF SALE (“POS”) TERMINAL AGREEMENT FOR MERCHANT 

This Point of Sale (“POS”) Terminal Agreement takes effect on the date 

this Agreement is executed by the Merchant; 

BETWEEN: 

CRUST AFRICA LIMITED, a limited liability company, duly incorporated under the laws of the Federal Republic of Nigeria and having its registered office address at Plot 31, 441 Lane, Citec Estate, Gwarimpa, FCT - Abuja. Crust which expression shall whenever the context so admit include its successors-in-title, Merchants and assigns of the one part. 

AND UNDERSIGNED CRUST MERCHANT which expression shall whenever the context so admits include its successors-in-title, representative, Merchants and assigns) of the other part. BACKGROUND 

A. Crust is a financial technology company dedicated to accelerating agricultural prosperity across Africa, by providing value chain actors with easy access to simple, innovative & reliable financial products & services through its Crust Business Application and POS Terminals. 

B. Crust provides electronic payment software/terminal that provides online real-time integration, payment infrastructure and product development for banks, financial institutions, corporate entities and merchants in order to enable real e-commerce on touch points and E-channels. 

C. Crust has agreed to provide the Merchant with Point of Sale (POS) Terminals and access to the Crust Service to carry out financial transactions in line with the terms and conditions contained herein. 

NOW THEREFORE, this Agreement outlines the terms and conditions applicable to any authorized Crust Merchant as follows; 

1. ATTESTATION 

I "The Merchant" hereby attest that: 

● The information provided to Crust is true and accurate. I agree that Crust reserves the right to take appropriate measures including legal actions if the information I have provided is found to be false. 

● I shall correctly fill the KYC Forms with all the requisite information. 

● I shall execute this Agreement for all the POS Terminals requested and delivered for use. 

2. COMMENCEMENT AND DURATION 

Unless otherwise agreed by the Parties in writing, this Agreement shall commence on the date of execution of this Agreement and shall remain in force for a period of One (1) year (“Initial Term”); and same shall automatically be renewed until this Agreement is terminated by either

party in writing, subject the terms of this Agreement and any subsequent amendments made by Crust Africa. 

3. OBLIGATIONS OF CRUST 

Crust shall: 

● Issue functional POS Terminals to the Merchant as requested and upon the execution of this Agreement. 

● Grant the Merchant access to its Crust Business Services for the purpose of providing cash deposits to banks, cash withdrawals, bill payments and other related services. 

● Use all reasonable endeavours to ensure that the Crust Business Service is available at all times, except for scheduled or emergency maintenance requirements. 

● Provide the requisite technical specification and support in respect of the Crust Service. 

4. OBLIGATIONS OF MERCHANT 

The Crust Merchant shall: 

A. Meet up with a daily target of Twenty (20) transaction counts or One Hundred Thousand Naira (N100,000) worth of transactions or a monthly target of Six Hundred (600) transaction counts or Three Million Naira (N3,000,000) worth of transactions. This

transaction target may be modified at the discretion of Crust and communicated to the Merchant. Any modifications made to this transaction target shall take effect One (1) weeks from the issuance of such modification. 

B. In the event that any POS Terminal assigned to the Merchant does not meet the transaction target as stated above, after a period of three (3) months consecutively, Crust reserves the right to retrieve the terminals. 

C. Ensure proper handling of P.O.S. Terminals; 

● All POS Terminals issued to the Merchants MUST NOT BE TAMPERED WITH or taken to a third party technician for repairs. In the event of any fault or damage (software or hardware), the POS Terminals must be returned to Crust office immediately for repairs. 

● When returning a POS terminal, the entire package (carton containing the POS charger ) must be returned together without damage, save for the usual wear and tear from prolonged usage. If the terminal is not returned intact, the Merchant shall bear the cost of replacing the damaged or lost items. 

5. RETRIEVAL AND REPOSSESSION OF POS TERMINALS 

A. Crust maintains the right to retrieve and rightof repossession over the POS Terminal issued to the Merchant. The continuous use of the POS Terminal by the Merchant is subject to the terms contained herein. 

B. Crust reserves the right to retrieve the POS Terminal issued if: 

● The Merchant using the Terminal fails to meet the monthly target within the stipulated time as provided in Clause 5(a); 

● In the event of such retrieval, Crust shall refund N10,000 of the caution fee paid by the Merchant; 

● The Merchant is only entitled to 10,000 refundable fee for the retrieval of the POS Terminals WITHIN THE FIRST ONE (1) YEAR from when the POS Terminal was issued to the Merchant. 

● This right of retrieval shall be exercised at the discretion of Crust. 

Note: 7(B) is only applicable to “Caution deposit” Merchants and Merchants who are yet to complete payment for “Lease to own”
